Studio Mariée Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the marketplace provided by Studio Mariée (“we”, “us”, “our”) via the website www.studiomariee.com (the “Marketplace” or “Service”). By registering an account, listing items, buying items, or otherwise using the Service, you agree to these Terms.
1. Our Service

The Marketplace enables sellers to list bridal items (dresses, accessories, etc.) for sale, and enables buyers to purchase such items from sellers.

The transaction is made between the buyer and the seller. We act as a marketplace facilitator and earn a Marketplace Fee equal to 5% of the final item price, while the seller receives the full listing price minus processing fees agreed upon by buyer and seller (subject to fees, shipping, taxes).

Sellers must fulfill the orders they receive and buyers must pay via the mechanisms provided on the Marketplace.

We may provide additional tools, features, or services (analytics, messaging, offers, listing management) at our discretion.
2. Registration & Account Information
-
To use the Service (as buyer or seller) you must register an account and provide accurate, complete and up-to‐date information.
-
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. Listing & Selling
-
As a seller you represent and warrant that you:
-
have full right, title and authority to sell the listed item;
-
will accurately describe the item (condition, size, age, defects, accessories) in the listing;
-
will comply with all laws applicable to the sale (consumer protection, export/import, product safety, age restrictions).

You may only list items that are permitted under our prohibited listing policy (see Section X).

When you make a sale you agree to:
-
deliver the item in the condition and timeframe described;
-
ship via a trackable method, provide shipping/tracking details;
-
cooperate with any order or dispute resolution process.

The seller’s payout will be the sale price minus processing fees. We reserve the right to change commission and fee structure with notice.
4. Buying & Payment
-
As a buyer you agree to pay the full purchase price including shipping, taxes and the marketplace fee of 5%.

We facilitate payment processing; once the item is marked as shipped/received (or as otherwise agreed), the seller will receive payout as per the marketplace schedule (4 days after delivery unless item is accepted earlier).

The buyer and seller acknowledge that we act only as a marketplace facilitator and are not party to the underlying contract of sale (unless expressly stated otherwise).

If you receive an item that is significantly not as described, damaged, or never received, you may open a dispute in accordance with our Returns & Refunds policy (Section 5).
5. Returns, Refunds & Disputes

The default policy is:
-
If the item is “significantly not as described”, damaged upon arrival, or not received by the buyer, the buyer is entitled to a full refund (including shipping) and the seller must accept return.

If the buyer simply changes their mind, the seller may determine whether to accept a return (at their discretion) unless otherwise required by applicable law.

Buyers must submit their claim in the timeframe specified by our policy (e.g., within 3 days of receipt) and provide required evidence (e.g., photo proof).

We may intervene in disputes, mediate, and arbitrate based on our policies and in our sole discretion.
6. Prohibited Conduct & Content
To maintain a safe, respectful and trustworthy community, you must not use the Service to:

Sell items you do not own, or without the right to sell.
-
Create false or misleading listings or misrepresent items.
-
Sell prohibited or restricted items (we will maintain a list of such items).
-
Use the Service for any illegal purpose or in violation of applicable law.
-
Upload, post or share User Content (photos, descriptions, comments) that violate our Community Guidelines (e.g., harassment, hate speech, pornographic or explicit content, threats, unlawful material).
-
Use bots, scrape data, interfere with the marketplace functionality, hack or test the security of the Service.
7. Intellectual Property
-
By listing on our marketplace you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, display and publish the content you submit (photos, descriptions) for the purpose of operating, promoting and improving the Service.

You represent you have the right to grant this licence (no infringement).
-
We retain all rights in the Marketplace platform and branding. You may not use our trademarks or branding without our prior written consent.
8. Fees, Commissions & Payment Processing

Sellers agree to cover the processing fee of 2.4% - 2.9% of the gross sale price for every item sold through the Marketplace. This amount will be deducted from the payout.

Payment processing fees (charged by third-party payment processors) may apply; these may be passed through to you as the buyer or seller depending on the jurisdiction and payment method.

We reserve the right to change commissions, fees or payment terms upon given notice to the affected party.
9. Limitation of Liability & Disclaimers

We provide the Marketplace “as-is” and “as available”. We do not guarantee uninterrupted access, error-free service or that listings are accurate.
-
We are not a party to the contract of sale between buyer and seller (unless otherwise stated). As such, our liability for any loss or damage arising out of your use of the Service is limited.
-
To the maximum extent permitted by law, we (and our officers, directors, employees, affiliates) will not be liable for any indirect, incidental, consequential or punitive damages, or for any loss of profits, data or goodwill arising out of or in connection with the Service.
-
Our total aggregate liability (if any) will not exceed the amount of commissions paid by you in the prior twelve (12) months.
10. Termination & Account Suspension

We may suspend or terminate your access to the Service (and your account) for violation of these Terms, non-payment of fees, fraudulent or improper conduct, or at our discretion, with or without notice.

Upon termination, any outstanding obligations (e.g., completed sales, pending payouts, returns) will survive and you must still comply with them.
-
If terminated, you must immediately cease all use of the Service and any rights granted to you will end.
11. Amendment of Terms
-
We may amend these Terms at any time by posting a revised version on the Marketplace and updating the “Effective Date”.
-
Your continued use of the Service after the revision constitutes your acceptance of the updated Terms.
-
If you disagree with the changes you may cease using the Service and close your account.
12. Governing Law & Dispute Resolution
-
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States (or the state/country where Studio Mariée is incorporated) unless otherwise required by applicable law.
-
Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Texas (or your discrete chosen jurisdiction).
-
If you are a resident of another jurisdiction with mandatory consumer protections, you may have additional rights which cannot be waived by these Terms.
13. General Provisions

These Terms, together with our Privacy Policy and other marketplace policies (listing rules, seller terms etc.), constitute the entire agreement between you and us regarding the Service.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remainder of the Terms will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent (except we may freely assign to an affiliate or successor company).
14. Marketplace Fee

To help maintain and improve the Studio Mariée marketplace experience, a Marketplace Fee applies to all purchases made by buyers in the United States.
1. Marketplace Fee Structure
For buyers in the United States, every purchase made through Studio Mariée will include a Marketplace Fee equal to 5% of the final item price agreed between you and the seller.

This fee excludes taxes and shipping costs.

The Marketplace Fee is charged in addition to the item price, taxes, and shipping.
2. How the Fee Appears at Checkout
The Marketplace Fee will be clearly itemized:

on the checkout page

in your order confirmation email

on your final order receipt
3. Refunds
If your order is refunded for any reason (including cancellations, returns, or “item not as described” resolutions), the Marketplace Fee—along with any applicable taxes charged on that fee—will also be refunded to you.

Appendix: Definitions
-
“User Content” means any content you post or upload on the Service (including listings, photos, descriptions, comments, messages).
-
“Seller” means a registered account that lists items for sale via the Marketplace.
-
“Buyer” means a registered account that purchases items via the Marketplace.
